Acceptance of these Terms
By visiting the Site, creating an account, or placing an order, you agree to these Terms of Service (the “Terms”) and to our Privacy Policy. If you do not agree, do not use the Site.
Changes to the Terms
We may update these Terms from time to time. When we do, we will post the new Terms on this page with a new effective date. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
Products, information & suitability
- Product descriptions, SDS, technical data, and approvals are provided for convenience and may change without notice. Always consult the current SDS and technical literature before use.
- Buyer is solely responsible for determining suitability for a particular application, ensuring compatibility with specifications (including MIL‑SPEC), and using products in compliance with applicable laws and regulations.
- We do not provide professional engineering, environmental, or regulatory advice through the Site.
Pricing, quotes & order review
- Prices shown on the Site are in USD unless stated otherwise and may change without notice.
- At checkout you will see “Shipping total dependent upon review.” Shipping, hazmat fees, and surcharges are quoted after we review your order (see Section 7).
- After you place an order, you authorize us to perform an authorization hold on your payment method for the subtotal (or another amount described at checkout). This is not a capture of funds.
- Your order is accepted only when we send a written order confirmation with the final total or when we ship the goods, whichever occurs first. We may decline/cancel any order (e.g., for availability, compliance, or payment risk) and will promptly notify you.
Payment & authorization
- Authorize‑Only workflow. When you submit payment at checkout, you consent to a pre‑authorization of your card. We will add shipping/fees after review and will either:
- send you an invoice/payment link for the final total; or
- if supported by our gateway and permitted by law, capture the authorized amount after you approve the final total.
- If we cannot contact you to finalize charges within [7] business days, we may cancel the order and release the authorization hold.
- You agree to provide accurate billing details and to resolve any AVS/CVV mismatches or bank declines.
Shipping, hazmat & risk of loss
- Post‑order shipping quote. Many products are hazardous or regulated. We will review packaging class, mode (ground/air), quantity, destination, and any special handling to determine shipping and hazmat surcharges. We will then provide the final shipping total for your approval.
- Title and risk of loss transfer to you when we tender goods to the carrier FOB our shipping point (unless required otherwise by law). Claims for damage or shortage must be filed with the carrier; we will reasonably assist you.
- We may split shipments or use multiple facilities. Delivery dates are estimates only.
- We do not ship to embargoed/sanctioned destinations and may limit modes for regulatory or safety reasons.
Taxes & regulatory compliance
- You are responsible for sales/use taxes, duties, and other governmental charges we are legally required to collect. Provide a valid resale/exemption certificate before order finalization if applicable.
- You will comply with all DOT/PHMSA, IATA, IMDG, OSHA Hazard Communication, and other laws applicable to transport, storage, labeling, and use of the products.
- If products are subject to export controls (e.g., EAR/ITAR), you agree not to export, re‑export, or transfer them in violation of U.S. law.
Returns, cancellations & RMAs
- Because many items are hazardous, returns are limited. Unless required by law:
- Non‑returnable: opened containers; custom/special orders; products classified as hazardous for transport; items not in resalable condition; items without prior RMA.
- Returnable (if pre‑authorized): standard catalog items in unopened, original packaging within [30] days of delivery, subject to inspection and a [15]% restocking fee. You are responsible for return freight and hazmat compliance.
- To request a return, call us for an RMA and instructions before shipping anything back.
- Cancellations after authorization but before shipment may incur costs actually incurred (e.g., repack, paperwork, hazmat prep).
Limited warranty; disclaimers
- We pass through any manufacturer warranties to the extent permitted. QC Lubricants does not itself warrant that products will meet your specific requirements.
- To the maximum extent permitted by law, the products and the Site are provided “AS IS.” We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement. Some jurisdictions do not allow limitations on implied warranties; the foregoing may not apply to you.
Limitation of liability
- Maximum liability. Our aggregate liability for any claim relating to an order is limited to the amount you paid for the products giving rise to the claim.
- No consequential damages. We will not be liable for lost profits, loss of use, business interruption, or any indirect, incidental, special, consequential, or punitive damages.
- These limitations apply to the fullest extent permitted by law and regardless of the theory of liability.
Safety, SDS & indemnity
- You agree to read and follow all labels and Safety Data Sheets (SDS) before use.
- You agree to indemnify and hold us harmless from claims arising out of your handling, storage, use, resale, or disposal of products in violation of law or instructions.
Accounts & acceptable use
- You are responsible for the security of your account credentials and for all activity under your account.
- You may not: (a) misuse the Site; (b) probe or test system vulnerabilities; (c) use automated scraping; or (d) place speculative or fraudulent orders.
Intellectual property
All content on the Site (text, logos, images, data sheets compiled by us, and design) is owned by QC Lubricants or its licensors and is protected by intellectual‑property laws. You may not reproduce or use our marks without written consent.
Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including accidents, labor issues, supply disruptions, carrier delays, acts of God, regulatory actions, or war.
Governing law & venue
These Terms and any dispute between you and QC Lubricants will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflicts principles. Exclusive venue lies in the state and federal courts located in Philadelphia, Pennsylvania, and you consent to personal jurisdiction there.
Miscellaneous
- If any provision is unlawful or unenforceable, the remaining provisions remain in effect.
- You may not assign your rights without our written consent; we may assign as part of a corporate transaction.
- These Terms (together with order confirmations and the Privacy Policy) are the entire agreement regarding your online purchase.
- Business‑only notice: “Our products are intended for industrial/commercial use. By purchasing, you represent you are buying for business purposes.”
- Shelf life & storage: “Buyer is responsible for observing manufacturer shelf‑life and storage conditions; we do not accept returns of expired or improperly stored products.”
